Terms of Service
PLEASE READ THESE TERMS CAREFULLY BEFORE USING SCVLEADS.COM
These Terms of Service ("Agreement") are entered into between SCVLeads.com / HonorElevate ("Company," "we," "us," or "our") and you or your business entity ("Client," "you," or "your").
By accessing our website, applying for services, or entering into a service agreement with us, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
1. Service Description
SCVLeads.com provides AI-powered lead generation services for Santa Clarita Valley businesses. Our services include:
- Meta (Facebook/Instagram) advertising campaign creation and optimization
- AI-driven audience targeting and lead qualification
- Real-time dashboard and mobile app for campaign monitoring
- CRM integration and lead delivery into your system
- SMS automation and follow-up workflows
- Weekly performance reporting and optimization
- Optional sales team integration and lead management
Additional custom services (Snow White campaigns, reputation management, AI voice agents, database reactivation) are NOT included in the standard SCVLeads.com package and are priced separately upon mutual agreement.
2. Pricing & Payment Terms
A. Standard Lead Generation Service
- Setup Fee: $1,500 (one-time, non-refundable)
- Monthly Management: $300 (recurring, due on the same date each month)
- Ad Spend: $1,000-$2,500/month (you pay Meta directly via credit card; we do not handle your ad budget)
B. Payment Method & Schedule
Setup fee and monthly management fees are due via credit card, ACH, or invoice. Recurring charges will be billed on the anniversary of your service start date each month. Failure to pay may result in suspension of services.
C. Refund Policy
The $1,500 setup fee is non-refundable after service initiation (once campaigns go live). However, if you cancel within 7 days of setup (before campaigns are launched), you may request a refund.
Monthly management fees ($300) are refundable within 30 days of cancellation, proportionally based on remaining days in the month.
Ad spend paid directly to Meta is non-refundable per Meta's policy. We have no control over refunds from Meta.
D. Price Changes
We may adjust pricing for new clients. Existing clients will receive 30 days' written notice of any price increases. You may cancel during this period if you disagree with the new pricing.
3. Your Meta Business Manager Account
A. Account Ownership
You own and maintain full ownership of your Meta Business Manager account. We have administrative access only to manage campaigns, audiences, and ad accounts on your behalf.
B. Account Security
You are responsible for:
- Creating and securing your Meta Business Manager account
- Providing us administrative access
- Maintaining the security of your login credentials
- Notifying us immediately if your account is compromised
C. Revocation of Access
You can revoke our administrative access at any time through Meta's Business Manager settings. Upon revocation, we will stop managing your campaigns, but you retain all audiences, ads, and historical data.
D. Meta's Terms Apply
Your use of Meta's platform is governed by Meta's Terms of Service. We are not responsible for Meta's policies, algorithm changes, account restrictions, or violations of Meta's terms. If Meta suspends your account, we cannot generate leads.
4. Lead Ownership & Data
A. You Own Your Leads
ALL LEADS generated through our campaigns are YOUR property. Leads belong exclusively to you. You have complete ownership, control, and the right to:
- Manage, store, and use leads as you see fit
- Export, archive, or delete leads
- Share leads with your sales team or other parties
- License or sell leads (at your discretion)
- Retain leads after our service ends
B. Lead Quality Disclaimer
We provide qualified leads based on the targeting, messaging, and qualification criteria we establish. However, lead quality depends on multiple factors:
- Meta's algorithm and targeting accuracy
- Lead intent and actual interest in your services
- Your sales team's ability to convert leads into customers
- Market conditions and competitive saturation
We guarantee lead delivery. We do NOT guarantee lead conversion or customer acquisition. Your results depend on your sales process, offer, and market demand.
C. Lead Data Retention
All leads are delivered to your CRM or system in real-time. You are responsible for storing and managing lead data. We retain campaign performance data (reporting, metrics, optimization records) for your account's duration plus 90 days after cancellation.
D. Your Customer Data
If you provide us with your existing customer database for AI training or reactivation campaigns, you warrant that you have the right to share this data and that it complies with all applicable privacy laws. You remain responsible for compliance with CCPA, GDPR, and other regulations.
5. Restrictions & Prohibited Uses
You agree NOT to use our services to:
- Violate any federal, state, or local law or regulation
- Create false, misleading, or deceptive advertising
- Promote illegal products or services (drugs, weapons, counterfeit goods, etc.)
- Violate Meta's Terms of Service or Advertising Policies
- Engage in harassment, discrimination, or hate speech
- Violate intellectual property rights (trademarks, copyrights, etc.)
- Send spam, phishing messages, or unsolicited communications
- Violate TCPA regulations (unsolicited telemarketing, SMS)
- Engage in fraudulent, deceptive, or manipulative practices
- Collect or use personal data in violation of privacy laws
If you violate these terms, we may suspend or terminate your services immediately without refund.
6. Compliance with Laws
A. Your Responsibility
You are responsible for ensuring your business, products, services, and marketing comply with all applicable laws, including:
- Federal Trade Commission (FTC) regulations
- Telephone Consumer Protection Act (TCPA)
- California Consumer Privacy Act (CCPA)
- CAN-SPAM Act (email marketing)
- State and local business licenses and regulations
B. Our Compliance
We comply with applicable privacy laws and industry standards. However, we are not your lawyer and do not provide legal advice. You should consult with an attorney to ensure your business and marketing comply with all applicable laws.
C. SMS Compliance
All SMS campaigns comply with TCPA regulations. All messages include clear opt-out instructions. Recipients can reply "STOP" to unsubscribe. You are responsible for maintaining an opt-out list and respecting unsubscribe requests.
7. Service Levels & Performance
A. Best Efforts, Not Guarantees
We commit to best efforts in managing your campaigns. However, we make NO GUARANTEES regarding:
- Specific number of leads generated
- Lead quality or conversion rates
- Return on investment (ROI) or revenue
- Ad approval or campaign approval by Meta
- Absence of service interruptions or downtime
B. Variables Outside Our Control
Lead generation depends on factors we cannot control:
- Meta's algorithm, targeting, and ad delivery
- Market conditions, competition, and demand
- Your sales team's conversion skills
- Your product/service pricing and competitiveness
- Economic conditions and seasonality
- Meta account restrictions or suspensions
C. Optimization Commitment
We commit to:
- Weekly campaign optimization and monitoring
- A/B testing of ad creatives and audiences
- Cost-per-lead reduction over 90 days (3-5% monthly improvement target)
- Real-time dashboard access and transparency
- Monthly performance reporting and recommendations
8. Termination & Cancellation
A. Termination by You
You may cancel services at any time by providing written notice to [email protected]. Cancellation is effective immediately or at the end of your current billing cycle (your choice).
Upon cancellation:
- We will stop managing your Meta campaigns (you retain ownership)
- Your monthly management fee ($300) is refundable proportionally for unused time
- Setup fee ($1,500) is non-refundable
- All leads remain your property
- You retain access to all campaign data and historical performance
B. Termination by Us
We may suspend or terminate services immediately if:
- You violate these Terms of Service
- You violate Meta's Terms of Service or Advertising Policies
- You engage in fraudulent, illegal, or unethical practices
- You fail to pay fees and do not remedy within 30 days of notice
- Your Meta account is suspended or restricted by Meta
- We reasonably believe your actions violate law or harm others
C. Post-Termination
After termination, you retain all leads, data, and campaign history. We will provide access to export all data. Data will be deleted 90 days after termination unless you request extended retention.
9. Limitation of Liability
IMPORTANT LIMITATION OF LIABILITY:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR:
- Lost revenue, profits, or business opportunities
- Lost data or corrupted files
- Indirect, incidental, special, consequential, or punitive damages
- Any damages arising from lead quality, conversion rates, or sales performance
- Meta algorithm changes, ad rejections, or account suspensions
- Service interruptions, downtime, or data loss
- Actions or inactions of third parties (Meta, your sales team, etc.)
OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
Some states do not allow exclusion of consequential damages, so this limitation may not apply to you.
10. Disclaimers
A. "As Is" Service
Our services are provided "AS IS" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
B. No Guarantee of Results
WE DO NOT GUARANTEE:
- Any specific number of leads
- Lead quality or intent to purchase
- Sales conversions or revenue generation
- Return on investment (ROI)
- Continued service availability or performance
C. Third-Party Services
Our services rely on third-party platforms (Meta, GoHighLevel, SMS providers, etc.). We are not responsible for:
- Third-party outages, interruptions, or service degradation
- Third-party policy changes or terms violations
- Third-party data breaches or security incidents
- Third-party account suspensions or restrictions
11. Indemnification
You agree to indemnify and hold harmless SCVLeads.com, HonorElevate, Connor MacIvor, and their agents from any claims, damages, losses, or expenses (including attorney fees) arising from:
- Your use of our services in violation of these Terms
- Your violation of any law or regulation
- Your infringement of intellectual property or privacy rights
- Claims by third parties related to your products/services
- Your failure to comply with Meta's Terms of Service
12. Confidentiality
A. Your Confidential Information
You may share confidential business information (customer lists, pricing, strategies, etc.). We will maintain confidentiality and not disclose without your permission, except as required by law.
B. Our Confidential Information
We may share optimization strategies, performance data, and industry benchmarks. You agree to maintain confidentiality and not share our proprietary methods with competitors.
13. Governing Law & Jurisdiction
These Terms of Service are governed by the laws of the State of California, without regard to its conflict of law principles.
Jurisdiction & Venue: Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the state and federal courts in Los Angeles County, California. You consent to jurisdiction in these courts and waive any objection to venue.
Dispute Resolution: Before filing a lawsuit, you agree to attempt to resolve disputes through good-faith negotiation. If negotiation fails, either party may pursue legal action in the courts specified above.
14. Independent Contractors
The relationship between you and SCVLeads.com is that of independent business parties. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship. You are not an employee and are not entitled to employee benefits.
15. Entire Agreement
These Terms of Service, along with our Privacy Policy and any written service agreements, constitute the entire agreement between you and SCVLeads.com regarding lead generation services. These Terms supersede all prior agreements, understandings, and negotiations.
16. Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be severed, and the remaining provisions will remain in full force and effect.
17. Waiver
Our failure to enforce any right under these Terms does not constitute a waiver of that right. Any waiver must be in writing and signed by both parties.
18. Amendments
We may amend these Terms at any time by posting an updated version on our website. Material changes will be communicated to you via email. Your continued use of our services indicates acceptance of amended Terms.
